Welcome to OutSpotYT! These Terms of Service ("Terms") govern your access to and use of the OutSpotYT website and services (collectively, the "Service").

By creating an account or using OutSpotYT, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

OutSpotYT reserves the right to modify these Terms at any time. We will notify you of significant changes by email or through the Service. Your continued use of OutSpotYT after any modifications indicates your acceptance of the updated Terms.

OutSpotYT is an AI-powered YouTube analytics platform that helps content creators identify outlier videos and discover patterns for growth. Our Service includes:

• Outlier Detection - Find videos that significantly outperform channel averages
• Video Analyzer - Deep analysis of YouTube video transcripts
• Brain Dumps - Collections of videos for AI-powered pattern analysis
• AI Analysis - Thumbnail, title, and script pattern insights powered by Google Gemini

The Service is provided "as is" and we continuously work to improve and expand its features.

To use OutSpotYT, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Be at least 13 years old to create an account

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

OutSpotYT offers the following subscription tiers:

All prices are in USD. Prices are subject to change with notice to existing subscribers.

Subscription payments are processed securely through Stripe. By subscribing, you agree to:

• Provide valid payment information
• Authorize recurring charges on your billing cycle
• Accept that subscriptions renew automatically until cancelled

Refund Policy: We offer refunds on a case-by-case basis. If you are unsatisfied with your subscription, please contact support@outspotyt.com within 7 days of purchase.

Failed Payments: If a payment fails, we will attempt to charge your card again. After multiple failures, your subscription may be downgraded to the free tier.

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Your account will then revert to the free tier
• Your data (brain dumps, saved videos) will be retained but some features may become limited
• No partial refunds are provided for unused time

To delete your account entirely, contact support@outspotyt.com.

You agree NOT to use OutSpotYT to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Scrape, harvest, or collect data beyond normal use
• Attempt to circumvent quota limits or subscription tiers
• Share your account credentials with others
• Use automated tools, bots, or scripts to access the Service
• Interfere with the operation of our Service
• Reverse engineer or attempt to extract source code
• Harass, abuse, or harm others using information from our Service

Violation of these terms may result in immediate account suspension or termination without refund.

OutSpotYT uses the YouTube Data API v3. By using our Service, you also agree to:

• Google Privacy Policy

You can revoke OutSpotYT's access to your YouTube data at any time through your Google Security Settings.

We respect YouTube's API quotas and terms. Abuse of our Service that impacts YouTube API usage may result in account restrictions.

Our Content: The OutSpotYT Service, including its original content, features, and functionality, is owned by OutSpotYT and protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of any data you input into OutSpotYT (brain dump collections, notes, etc.). By using the Service, you grant us a limited license to process your content to provide the Service.

YouTube Content: Video data, thumbnails, and other content from YouTube belongs to their respective creators and YouTube. We display this content under YouTube API terms for analysis purposes only.

OutSpotYT is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of any content or analysis

We do not guarantee that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from using the Service will be accurate or reliable
• Using our insights will guarantee YouTube success

To the maximum extent permitted by applicable law, OutSpotYT and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or goodwill
• Service interruption or computer damage
• Any other intangible losses

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to defend, indemnify, and hold harmless OutSpotYT and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Request by law enforcement or government agencies
• Extended periods of inactivity
• Unexpected technical or security issues
• Your request to delete your account

Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination shall survive (including intellectual property, disclaimer, and limitation of liability).

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top
• Notify you by email or through the Service for material changes
• Allow a reasonable period before the new terms take effect

Your continued use of OutSpotYT after any modifications constitutes acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.
